Terms of Service

1. Acceptance of Terms

By creating an account, clicking "I agree", or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to that organisation.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

NexusVoid AI provides a SaaS platform - the Autonomous Cybersecurity OS - comprising four AI-powered security agents:

• Argus - Application Security Posture Management (ASPM) for unified vulnerability and risk visibility.
• Aegis - Continuous Compliance Automation and GRC for frameworks including SOC 2, ISO 27001, DPDP, and PCI DSS.
• Striker - AI-powered Vulnerability Assessment and Penetration Testing (VAPT) on-demand.
• Phantom - Autonomous adversary simulation and attack-path modeling.

We may update, modify, or discontinue features of the Service at any time. We will provide reasonable advance notice of material changes that negatively affect existing functionality.

3. Account Registration and Security

To use the Service, you must register for an account. You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at security@nexusvoidai.com if you suspect any unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your credentials before you notify us.

You may not share account access with users not covered by your subscription. Each seat in a team plan corresponds to one named user. Service accounts for automated integrations are permitted within the limits of your subscription.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to scan, test, or attack systems, networks, or applications that you do not own or do not have explicit written authorization to test. Unauthorized penetration testing is illegal in most jurisdictions.
• Use the Service for any illegal purpose or in violation of any applicable local, national, or international law or regulation.
• Attempt to probe, scan, or test the vulnerability of NexusVoid AI's systems or networks without our prior written permission.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service.
• Resell, sublicense, or provide access to the Service to third parties without our prior written authorization.
• Interfere with or disrupt the integrity or performance of the Service or the data it contains.
• Use automated means (scrapers, bots) to access the Service beyond what is provided by our official API.

Violation of this section may result in immediate suspension or termination of your account and may be reported to law enforcement.

5. Payment Terms

NexusVoid AI offers both subscription plans (billed monthly or annually) and pay-per-scan credits for Striker and Phantom engagements.

5.1 Subscription Fees

Subscription fees are billed in advance at the start of each billing period. Annual plans are billed once per year. All fees are exclusive of applicable taxes. We reserve the right to change subscription pricing with 30 days' written notice before the next billing cycle.

5.2 Scan Fees

Pay-per-scan fees are charged at the time of scan initiation, once a scan job is dispatched to our infrastructure. Scan fees are non-refundable once a scan has commenced, regardless of whether you use the results. Scans that fail due to platform errors on our side will be credited to your account.

5.3 Refunds

Subscription fees paid in advance are non-refundable except where required by applicable law or where we materially fail to deliver the Service. If you cancel during a billing period, your access continues until the end of that period. We do not provide prorated refunds for unused subscription time.

5.4 Failed Payments

If a payment fails, we will retry it up to three times over 7 days. If payment remains unsuccessful, your account will be downgraded to a read-only state until payment is resolved. Data will be retained for 30 days before account deletion.

6. Intellectual Property

NexusVoid AI owns the platform. The Service, including all software, algorithms, AI models, user interface designs, documentation, and trademarks, is owned by NexusVoid AI and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You own your data and reports. You retain all ownership rights to: (a) any source code, configurations, or data you provide to the Service; and (b) the security reports and findings generated specifically from scanning your systems. We grant you a non-exclusive, perpetual license to use, copy, and share those reports internally or with authorized third parties such as auditors and compliance teams.

By using the Service, you grant NexusVoid AI a limited license to process your data solely to provide the Service, as described in our Privacy Policy.

7. Data Processing

To the extent that you provide personal data to the Service in connection with scanning customer or employee systems, NexusVoid AI acts as a data processor under GDPR, the DPDP Act 2023, and equivalent privacy laws, and you act as the data controller. You are responsible for ensuring you have a lawful basis for providing that personal data to us.

We will process personal data only in accordance with your instructions and our Privacy Policy. Enterprise customers may request a Data Processing Agreement (DPA) by emailing legal@nexusvoidai.com.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

NexusVoid AI is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with the Service, even if we have been advised of the possibility of such damages.

We provide the Service with industry-leading security practices, but we cannot guarantee that the Service will detect all vulnerabilities, prevent all security breaches, or achieve any particular compliance outcome. Security assessments are point-in-time analyses and do not guarantee ongoing security. You remain responsible for implementing security recommendations and for maintaining your own security posture.

Liability cap: Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the total fees paid by you to NexusVoid AI in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, willful misconduct, death, or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless NexusVoid AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) any content you provide to the Service.

10. Termination

Termination by you: You may cancel your subscription at any time with 30 days' written notice to legal@nexusvoidai.com. Your access continues until the end of the current billing period. Upon cancellation, you may export your data and reports within 30 days, after which your account data will be deleted.

Termination by us: We may suspend or terminate your account immediately and without notice if: (a) you breach these Terms (including the Acceptable Use policy); (b) you fail to pay fees after the grace period; (c) we are required to do so by law; or (d) continued provision of the Service to you would expose us or others to legal risk.

For terminations not caused by your breach, we will provide 30 days' notice where practicable. Upon termination, your right to access the Service ceases. Sections 6, 8, 9, 11, and 12 survive termination.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Karnataka, India, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

For EU/EEA customers, these Terms do not affect your rights under mandatory local consumer protection laws or GDPR. EU customers may also have the right to seek recourse with their local supervisory authority.

Before initiating legal proceedings, the parties agree to attempt in good faith to resolve any dispute through informal negotiation for a period of 30 days from written notice of the dispute.

12. Changes to Terms

We may revise these Terms from time to time. We will provide at least 14 days' advance notice of material changes by email and by posting a notice in the platform. Changes to address legal requirements may take effect immediately. Your continued use of the Service after the effective date of updated Terms constitutes acceptance.
